Welcome to GoodAgain! These Terms of Service (“Terms”) govern your use of the GoodAgain mobile application and web platform (collectively, the “Service”) operated by Ziggby Group, LLC, doing business as GoodAgain. By accessing or using our Service, you agree to be bound by these Terms.

1. Definitions

"GoodAgain," "we," "our," "us": Ziggby Group, LLC, doing business as GoodAgain
"Service": The GoodAgain mobile application, web platform, and related services
"Customer": A User who submits complaints, claims rewards, or redeems promotional offers
"Business": A User who subscribes to the Service to manage customer complaints and resolutions
"Content": Any text, images, audio recordings, or other materials submitted through the Service
"Promo Code": A discount code, free item offer, or other promotional reward issued through the Service

2. Eligibility

To use our Service, you must be at least 13 years of age. If you are under 18, you represent that you have your parent or guardian's permission. You must have the legal capacity to enter into binding agreements.

Businesses must be legitimate, legally registered entities or otherwise authorized to conduct business in their jurisdiction.

3. Account Registration

3.1 Business Accounts

When creating a Business account, you agree to provide accurate information, maintain account security, and accept responsibility for all activities under your account. One subscription covers a single primary business location. Additional locations require a per-location add-on fee.

3.2 Team Members

Business account owners may invite team members with designated roles (owner, manager, staff, viewer). The account owner is responsible for all actions taken by team members and managing their access.

3.3 Customer Access

Customers access the Service by scanning QR codes or visiting complaint submission pages. You agree to provide truthful information and not create multiple accounts to circumvent complaint limits.

4. The GoodAgain Service

4.1 Service Description

GoodAgain provides a platform that connects customers with businesses to resolve complaints and issues. The Service includes:

AI-powered chat for complaint submission and resolution
Promotional code and reward generation
Birthday Club for collecting customer birthdays and sending automated birthday rewards
Review prompt emails to encourage customer feedback
Business dashboard for complaint management
Analytics and reporting tools
Win-back campaign features
Referral program for customer-to-customer sharing
QR code generation for print materials and email redemption
Digital flyer and newsletter broadcasting to customers on behalf of businesses
Live Alerts for in-store incident notifications via Slack
GoodAgain Cards for physical service recovery
Automated complaint reminders and monthly performance summaries for businesses

4.2 AI-Powered Features

AI features are provided for assistance only. AI-generated content may contain errors or inaccuracies. Users should exercise their own judgment and verify AI outputs.

4.3 Promo Codes and Rewards

Promo codes are issued at the sole discretion of the participating Business
Promo codes have expiration dates and may have usage restrictions
GoodAgain is not responsible for honoring promo codes; that obligation rests with the issuing Business
Promo codes have no cash value and cannot be exchanged for cash

4.4 Birthday Club

Businesses may enable a Birthday Club feature that allows customers to provide their birthday (month and day only) in exchange for an annual birthday reward. By signing up:

You consent to receiving a birthday reward email from the business each year
Birthday rewards are issued automatically based on the business's configured timing
Birthday rewards are subject to the same terms as other promo codes
Businesses may change or discontinue their Birthday Club at any time

4.5 Review Prompts

Businesses may send automated review prompt emails inviting you to share feedback about your visit. These emails may include links to third-party review platforms. GoodAgain is not responsible for the content or policies of third-party review platforms.

4.6 Spin-to-Win Feature

Some Businesses may offer a spin-to-win feature for reward selection. The odds and prizes are determined by each Business. GoodAgain does not guarantee any specific outcome.

4.7 Scratch-to-Win Feature

Some Businesses may offer an interactive scratch-to-win card for reward selection. By participating:

You scratch a virtual card to reveal a prize determined by the Business's configured odds
Prizes and odds are set entirely by the Business. GoodAgain does not guarantee any specific outcome
Eligibility may be limited by the Business (e.g., once per day, week, or month)
We use device fingerprinting and email tracking to enforce eligibility limits and prevent abuse
Winning a prize generates a promo code delivered via email, subject to the same terms as other promo codes (expiration, usage restrictions)
Businesses may change or discontinue their Scratch-to-Win feature at any time

4.8 Referral Program

Businesses may enable a referral program that allows existing customers to refer friends. By participating:

You may generate a unique referral link to share with friends
Both you and your referred friend may receive a promotional reward as configured by the business
Each unique friend can only be referred once per business
Referral rewards are subject to the same terms as other promo codes (expiration, usage restrictions)
Businesses may change or discontinue their referral program at any time
Abuse of the referral system (e.g., self-referrals, fake accounts) may result in forfeiture of rewards and account suspension

5. Acceptable Use Policy

Customers may NOT:

Submit false, fraudulent, or misleading complaints
Abuse the reward system for personal gain or to defraud businesses
Circumvent complaint limits using multiple accounts or devices
Abuse the referral program through self-referrals, fake accounts, or automated sharing
Harass, threaten, or abuse business owners, staff, or other users
Use automated tools, bots, or scripts to interact with the Service

Businesses may NOT:

Use customer data for purposes other than complaint resolution and related communications
Sell, share, or transfer customer data to third parties
Retaliate against customers for submitting legitimate complaints
Issue promo codes they do not intend to honor

6. Subscriptions and Payments

Base subscription: $99/month (or discounted annual rate)
Additional locations: $79/month per location
New accounts receive a 14-day free trial with full access
Payments are processed securely through our payment processor
You may cancel at any time; access continues until end of billing period
No prorated refunds for partial billing periods
Data can be exported for up to 30 days after cancellation

7. Intellectual Property

GoodAgain owns all rights to the Service including software, trademarks, and designs. You retain ownership of Content you submit and grant GoodAgain a license to use it to provide and improve the Service. By using the Service, you also grant us the right to use anonymized and aggregated data to train and improve our AI models.

8. User Content

All Content must be truthful, accurate, legal, and respectful. You may not submit content that is false, harmful, threatening, harassing, or that infringes on third-party rights. We reserve the right to remove any Content that violates these Terms.

9. Privacy

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. SMS/Text Message Terms

10.1 Program Name

GoodAgain Business Alerts.

10.2 Program Description

GoodAgain Business Alerts is a transactional SMS notification service that alerts business owners, managers, and designated staff members when a customer submits a complaint or issue at their business through the GoodAgain platform. These messages enable timely resolution of customer concerns.

10.3 What You Will Receive

By opting in, you consent to receive the following types of transactional SMS messages:

New customer issue alerts
Unresolved issue reminders
Opt-in confirmation and opt-out acknowledgment messages

10.4 Message Frequency

Message frequency varies based on customer activity at your business. You may receive up to approximately 30 messages per month, though this number may be higher during periods of increased customer activity. Message frequency depends on the volume of customer issues submitted at your business.

10.5 Message and Data Rates

Standard message and data rates may apply as determined by your mobile carrier. GoodAgain does not charge any additional fees for SMS notifications.

10.6 How to Opt In

You may opt in to receive SMS alerts by providing your phone number and checking the consent checkbox during account setup or in your notification settings at goodagainapp.com. You may also opt in by texting START to our designated number. By opting in, you confirm that you are the owner or authorized user of the mobile number provided and that you agree to these SMS terms.

10.7 How to Opt Out

You may opt out of SMS notifications at any time by any of the following methods:

Reply STOP to any message you receive from GoodAgain
Reply CANCEL, UNSUBSCRIBE, END, or QUIT to any message
Disable SMS notifications in your account settings at goodagainapp.com
Contact us at support@goodagainapp.com and request removal

Upon opting out, you will receive a one-time confirmation message acknowledging your request. No further SMS messages will be sent to your number unless you re-subscribe by texting START.

10.9 Carrier Liability Disclaimer

Carriers (including but not limited to AT&T, Verizon, T-Mobile, U.S. Cellular, and all other mobile carriers) are not responsible or liable for delayed or undelivered messages. GoodAgain is not responsible for messages that are delayed or not delivered due to carrier network issues, device incompatibility, or circumstances beyond our reasonable control. Delivery of SMS messages is subject to effective transmission by your mobile carrier.

10.10 Supported Carriers

SMS notifications are supported on most major U.S. carriers including AT&T, Verizon, T-Mobile, and others. Carrier support is subject to change without notice.

10.11 Privacy

Your phone number and SMS data are handled in accordance with our Privacy Policy. We do not share or sell your phone number, mobile opt-in data, or consent information with third parties or affiliates for their marketing or promotional purposes.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE. GOODAGAIN IS A PLATFORM THAT FACILITATES COMMUNICATION; WE ARE NOT A PARTY TO DISPUTES BETWEEN CUSTOMERS AND BUSINESSES.

11.5 Healthcare Businesses Disclaimer

GoodAgain is a general customer service feedback platform. It is not a covered entity or business associate under the Health Insurance Portability and Accountability Act (HIPAA). Customers interacting with healthcare businesses through GoodAgain should not submit protected health information (PHI) as defined by HIPAA, including but not limited to medical records, diagnoses, treatment details, prescriptions, test results, or insurance information.

The Service is intended solely for general service feedback such as wait times, staff interactions, billing inquiries, and facility conditions. GoodAgain assumes no liability for PHI voluntarily submitted by customers. Healthcare businesses using GoodAgain are solely responsible for ensuring their use of the platform complies with all applicable healthcare privacy regulations, including HIPAA.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODAGAIN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM OR $100.

13. Dispute Resolution

Before filing any formal claim, you agree to attempt informal resolution by contacting us at legal@goodagain.ai for at least 30 days. Unresolved disputes will be settled through binding arbitration administered by the American Arbitration Association in Oakland County, Michigan.

YOU AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS ACTION.

These Terms are governed by the laws of the State of Michigan.

14. Termination

Customers may stop using the Service at any time. Businesses may cancel their subscription through Settings. We may suspend or terminate access for violation of these Terms, fraudulent activity, non-payment, or other reasons. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email and/or notice within the Service. Continued use after changes constitutes acceptance.
